Requirement of Company Incorporation in Singapore
The following requirements set by Accounting and Corporate Regulatory Authority (ACRA) are to be adhered to before incorporating your company:
- Your desired company name needs to be reserved and approved before incorporation. Once reserved, the Company has to be incorporated within 2 months.
- At least one director (Singaporean, Singapore Permanent Resident or Employment Pass Holder) resides locally in Singapore must be appointed. The director must be at least 18 years old, not a bankruptcy, and free from any malpractice charges in the past.
- At least one shareholder who can be an individual or a corporate entity (be it a local resident or foreigner). Can be owned entirely by foreigner or foreign entity. Company shares can be freely issued or transferred at any point of time upon incorporation.
- A qualified company secretary resides locally in Singapore must be appointed within 6 months of the company’s incorporation. An individual who is the sole director of the company is not allowed to act as the company secretary.
- A minimum of S$1 worth of paid-up capital to register your Singapore company. This amount can be increased any time after your company is incorporated.
- A local Singapore address is required to be provided for the registered address of the company. The registered address can be either a residential or commercial address, but not a P.O. Box. A further application with the Housing And Development Board is required if a HDB flat is used for the registered address.
